EARNWELL TERMS OF SERVICE

1. AGREEMENT TO THESE TERMS

These Terms of Service (the "Terms") govern your use of the EarnWell website and any EarnWell service that we make available (collectively, the "Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. WHO WE ARE

3. CURRENT PRE-LAUNCH STATUS

EarnWell is in a pre-launch stage. The current website is informational. Unless we expressly state otherwise in the Service, public account creation, fitness-provider connections, points redemption, merchant offers, payment processing, payouts, and financial accounts are not active. We may change, suspend, or discontinue a pre-launch feature at any time.

4. FUTURE ACCOUNTS AND ELIGIBILITY

If we make an account available, you must provide accurate information, protect your sign-in credentials, and promptly notify us of suspected unauthorized use. You may use the Service only if you meet the minimum age required by applicable law and any connected provider's terms. You are responsible for activity that occurs through your account to the extent permitted by law.

5. FITNESS INFORMATION AND OPTIONAL CONNECTIONS

A future optional fitness-provider connection will require your express authorization before EarnWell accesses provider information. Any connection is subject to the provider's own terms and privacy policy. EarnWell does not provide medical advice, diagnosis, treatment, or emergency services. Do not rely on the Service for medical decisions; seek advice from a qualified health professional when appropriate.

6. POINTS, OFFERS, AND REWARDS

Any points, tiers, benefits, offers, discounts, credits, or rewards that EarnWell may later offer are promotional program features, not cash, a bank account, stored value, transferable property, or a guarantee of value. Their availability, eligibility criteria, expiration, limits, and redemption terms may change and will be presented with the applicable offer. No points, offer, redemption, or payout is active unless the Service expressly says it is.

7. ACCEPTABLE USE

You may not misuse the Service, including by attempting to access another person's account or data, bypassing security controls, submitting false information, using automation to interfere with the Service, reverse engineering except where law permits it, introducing malicious code, or using the Service in violation of law or another person's rights.

8. PRIVACY

Our Privacy Policy explains how we process personal information. Health and fitness information is kept within EarnWell's first-party private boundary and is not shared with merchants, advertisers, analytics providers, or other third parties for their own purposes.

9. INTELLECTUAL PROPERTY

The Service and its content, branding, designs, and software are owned by EarnWell or its licensors and protected by applicable law. We grant you a limited, revocable, non-transferable right to use the Service for its intended personal purpose, subject to these Terms.

10. DISCLAIMERS AND LIMITATION OF LIABILITY

To the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind. EarnWell does not guarantee that the Service will be uninterrupted, error-free, secure, or available at a particular time. To the fullest extent permitted by law, EarnWell will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, goodwill, or opportunity arising from your use of the Service.

11. CHANGES AND TERMINATION

We may update these Terms as the Service develops. We will post the updated effective date and provide additional notice when required by law. We may suspend or terminate access where reasonably necessary to protect the Service, other users, or comply with law.
